Terms of Service

Welcome, and thank you for using our services, provided by TableHQ LLC ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our services (the "Services") and constitute a binding agreement between you and the Company. By accessing or using the Services, you acknowledge that you have read, understood, and accept these Terms. If you do not agree to any part of these Terms, you should discontinue your use of the Services.

1 User Accounts and Subscriptions

1.1 Account Registration and Security

To access certain features of the Services, you must register for an account using a valid email address or by signing in through an approved third-party account (e.g., Google). By creating an account, you agree to provide accurate and complete information.

You are responsible for maintaining the security of your account credentials, including login links, codes, and third-party access. Promptly notify us if you discover or suspect any security breaches or unauthorized use of your account.

You must be at least 18 years old, or have the consent of a parent or legal guardian, to create an account and use the Services.

Account creation is not permitted if you have previously been banned or removed from the Services, unless we provide prior written consent.

1.2 Subscription Billing, Payments, and Refunds

Certain features of the Services require a paid subscription. By subscribing, you agree to pay all applicable fees in U.S. dollars.

Subscriptions are billed on a recurring basis and renew automatically unless canceled. You authorize us to charge the payment method associated with your account to avoid service interruptions.

Unless expressly stated otherwise, all subscription payments are nonrefundable, and no credits or refunds will be issued for unused portions of a subscription period.

We may change our subscription plans or pricing at our discretion. If changes occur, we will provide reasonable advance notice, giving you the opportunity to cancel before the new pricing takes effect. Price changes will apply at the start of your next billing cycle. Continued use of the Services after the new pricing takes effect constitutes acceptance of the changes.

1.3 Pausing your Subscription

You may pause your subscription through your account settings. During the pause, access to paid Services will be suspended. When resumed, your subscription will pick up where it left off, and your billing cycle will be adjusted accordingly.

If your subscription is paused after the end of its active billing period, resuming it will immediately begin a new billing cycle and charge your payment method.

1.4 Subscription Cancellation and Termination

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid Services until the end of the current billing cycle. No refunds or credits will be issued for unused time.

We may suspend or cancel your subscription without notice if you fail to pay fees on time, violate these Terms, or misuse the Services.

1.5 Free Trials

We may offer free trial periods for subscription services at our discretion.

You will not be charged during a free trial. If you do not cancel before the trial ends, your account will automatically convert to a paid subscription, and you will be charged according to your selected plan.

If payment method is not provided or payment fails at the end of the trial, or if you cancel before transitioning to a paid subscription, your subscription will be suspended or terminated.

We reserve the right to modify or discontinue free trial offers at any time without prior notice.

2 Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not misuse the Services or engage in activities that could harm the Company, other users, or third parties.

2.1 Prohibited Activities

You agree not to:

  1. Violate any applicable laws, regulations, or third-party rights.
  2. Upload, distribute, or transmit viruses, malware, or other harmful code.
  3. Attempt to gain unauthorized access to the Services or other users' accounts.
  4. Disrupt or interfere with the integrity or performance of the Services or associated systems.
  5. Impersonate any person or entity or misrepresent your affiliation.

2.2 Prohibited Content

You may not post, upload, or transmit content through the Services that:

  1. Is illegal, deceptive, harmful, defamatory, obscene, hateful, or discriminatory.
  2. Infringes on intellectual property, privacy, or other third-party rights.
  3. Constitutes spam, unauthorized advertising, or commercial solicitation.
  4. Includes personal information about others without their explicit consent.
  5. Violates the terms of any third-party platform linked through the Services.

3 Content Rights and Ownership

3.1 Intellectual Property

All content, features, and functionality of the Services are the exclusive property of the Company and its licensors. They are protected by copyright, trademark, and other intellectual property laws. You may not use them without our prior written consent.

3.2 Your Content

You retain ownership of any content you submit, post, or display on or through the Services. You affirm that you have all necessary rights and permissions to share such content, and that it does not violate any third-party rights.

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to access, host, store, reproduce, display, distribute, and modify (e.g., for adaptation to various devices and ensuring optimal presentation) your content as needed to operate and improve the Services.

You are solely responsible for your content and any consequences of posting or sharing it. The Company does not endorse any user content or opinions expressed therein. We may, at our discretion, remove or disable access to content that violates these Terms or is otherwise objectionable, without prior notice.

You are solely responsible for maintaining backup copies of any content you upload or share through the Services. To the fullest extent permitted by law, the Company disclaims all liability for any loss, damage, or corruption of content, whether resulting from your actions, system failures, or other causes.

3.3 Feedback and Suggestions

We value your feedback and encourage suggestions that could improve our Services. By submitting feedback, you grant us the right to use it without restriction or compensation. This helps us improve the Services for all users.

4 Privacy Policy

Your access to and use of the Services is also contingent upon your acceptance of our Privacy Policy, which describes how we handle the information you provide to us when you use the Services. We encourage you to review it carefully before you start using the Services.

5 Third-Party Services

When using the Services, you may encounter third-party content, data, applications, or links to external websites that are not owned or controlled by the Company. We do not monitor or evaluate these third-party offerings and make no warranties regarding their accuracy, legality, completeness, or quality.

By using the Services, you acknowledge and agree that the Company is not responsible or liable for any loss or damage resulting from your use of, or reliance on, any third-party content, products, or services.

6 Termination

We may terminate or suspend your account immediately, without notice or liability, for any reason, including a violation of these Terms. Upon termination, your right to use the Services ceases immediately.

If your account is terminated due to a suspected breach, you may not re-register under a different name without our written consent.

We may delete your content upon termination, but are not obligated to do so. We are not responsible for any failure to retain or delete your content.

Sections of these Terms that, by their nature, should survive termination, will continue to be binding even after termination. Termination will not limit any of the Company's other rights or remedies at law or in equity.

7 Disclaimer, Limitation of Liability, and Indemnification

7.1 Disclaimer

The Services are provided on an “AS IS” and “AS AVAILABLE” basis, and your use of them is at your own risk. To the fullest extent permitted by law, the Company makes no warranties, express or implied, regarding the Services. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the above, the Company, its affiliates, agents, suppliers, and licensors do not guarantee that:

  1. The information provided through the Services is accurate, reliable, or complete.
  2. The Services will meet your expectations or deliver any specific outcomes.
  3. The Services will be available without interruption, or be secure or error-free.
  4. The Services are free of viruses, malware, or other harmful components.
  5. The Services will function with any particular software, systems, or devices.
  6. Any issues or defects will be corrected.

7.2 Limitation of Liability

To the fullest extent permitted by law, the Company, its affiliates, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption, arising from the use or inability to use the Services.

Our total liability under these Terms shall not exceed the amount you paid for the Services in the three (3) months preceding the claim.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, agents, suppliers, and licensors from any claims, losses, or expenses (including reasonable attorney's fees) arising from:

  1. Your use of the Services.
  2. Your violation of these Terms.
  3. Your infringement of any third-party rights.
  4. Your content causing harm to others.

8 Governing Law and Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Before filing a formal dispute, you agree to contact us in an effort to resolve the issue informally.

Any disputes that cannot be resolved informally shall be resolved through binding arbitration conducted in King County, Washington, in accordance with the rules of the American Arbitration Association.

Either party may bring an individual action in small claims court if the claim falls within the court's jurisdiction.

8.3 Class Action and Jury Trial Waiver

You agree that any disputes with the Company will be resolved on an individual basis. You may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. You further waive your right to a jury trial in any action or proceeding arising out of or related to these Terms or the Services.

9 Changes to these Terms of Service

We may update these Terms of Service from time to time to reflect changes in our practices, Services, or applicable laws. If we make material changes, we will provide you with reasonable advance notice before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those changes.
